  1. Acceptance of Terms

1.1 Scope: Wingi Inc., its affiliates, and subsidiaries (including, but not limited to, WG Network Kenya Limited) provide Integrated Supply Chain Services (“Services”)under this Terms of Service (“TOS”). By accessing or using the Services, you acknowledge that you have read, understood, and agreed to this TOS.

If you are accepting this TOS on behalf of a company or legal entity, you warrant that you have the authority to bind the entity. If you do not agree to these terms, you may not use the Services.

1.2 Modifications: Wingi reserves the right to amend this TOS, Policies, and Fee Schedule. Any changes will be communicated by posting a notice on the website or via email. Changes will take effect 30 days after notice. Continued use of the Services after this period constitutes acceptance. If you disagree with changes, you may terminate your account by sending a cancellation request to info@wingiglobal.com.

1.3 Registration: To access certain features, you must register an account (“Account”) by providing a valid email and password. You are responsible for maintaining the confidentiality of your login credentials.

  1. Description of Services

Wingi provides comprehensive tech-enabled supply chain services, including:

  • Manufacturer sourcing and vetting
  • Logistics management
  • Supplier payments and invoice management
  • Order tracking
  • Embedded supply chain financing
  • Access to a customer supply chain portal for administration and monitoring

Additional features or services may be introduced and will also be governed by this TOS.

  1. General Conditions for Service Use

3.1 Permitted Use: You may use the Services only for lawful purposes. You agree not to:

  • Sublicense, resell, lease, or commercially exploit the Services.
  • Interfere with or disrupt the integrity of the Services.
  • Attempt unauthorized access to the Services.

3.2 Your Content: You are responsible for all data and content you upload or transmit through the Services (“Your Content”). By submitting content, you grant Wingi anon-exclusive, irrevocable, worldwide, royalty-free license to use, display, and distribute Your Content in connection with providing Services.

3.3 Account Management: You are responsible for all activities under your account. Wingi reserves the right to monitor content, remove material, and access accounts for technical support purposes.

3.4 Data Analysis: Wingi may collect and analyze aggregated, de-identified data to improve its Services.

3.5 Security: Transmission of Your Content may occur over unencrypted networks. Wingi is not responsible for unauthorized access, loss, or damage to Your Content. You must maintain adequate security and backup for your data.

3.6 Equipment: You are responsible for procuring compatible equipment and ensuring the security of your systems and passwords.

3.7 Marketing Reference: Wingi may use your company name for promotional purposes unless you opt out by emailing info@wingiglobal.com.

3.8 Lien Rights: Wingi or its Logistics and Fulfillment Partners maintain a lien over your goods for unpaid fees or charges, in accordance with applicable law.

  1. Payment Terms

All payments must comply with Wingi’s Payment Terms, as outlined in payment plan agreements and invoices. Non-standard services or additional costs (e.g., non-standard receiving fees) will be billed separately.

  1. Receiving Costs

Standard Receiving Costs are generally included in outbound handling fees. Additional Costs for non-standard receiving will be communicated and billed separately.

  1. Representations and Warranties

You represent and warrant that:

  • You have the legal authority to enter this TOS.
  • Your Content does not infringe third-party rights.
  • You are 18 years or older.
  1. Termination

You may terminate your account at any time by sending a cancellation request to info@wingiglobal.com. Wingi may terminate your account at its discretion with notice. Upon termination, Wingi may delete Your Content.

Sections 4-11of this TOS survive termination.

  1. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind. Wingi disclaims all implied warranties, including merchantability and fitness for a particular purpose. Wingi does not guarantee uninterrupted, secure, or error-free Services.

Wingi is not responsible for:

  • Damage to goods during shipping, handling, or pick-and-pack processes.
  • Business decisions you make based on the Services.
  1. Limitation of Liability

9.1 Exclusion of Liability: Wingi is not liable for indirect, incidental, or consequential damages(e.g., lost profits or data) beyond the fees you paid in the 6 months preceding the claim.

9.2 Inventory Loss: Wingi’s liability for lost, damaged, or destroyed inventory is limited to 5% of total product value or one month’s billable storage fees, whichever is lower.

9.3 Adjustments: Offsetting adjustments for errors will not constitute inventory loss.

9.4 Jurisdictional Limits: Some jurisdictions may not permit these limitations. In such cases, liability is limited to the fullest extent permitted by law.

  1. Indemnification

You agree to indemnify and hold Wingi harmless from any claims or damages arising from your breach of this TOS, misuse of Services, or Your Content.

  1. Assignment

You may not assign this TOS without Wingi’s consent. Wingi may assign its rights under this agreement without restriction.

  1. Miscellaneous

If any part of this TOS is deemed unenforceable, the remainder remains valid. This TOS supersedes all prior agreements. Any waivers or modifications must be in writing and signed by both parties.

  1. Governing Law and Dispute Resolution

These terms are governed by the laws of the United States of America. Any disputes arising from or related to these terms shall be resolved through binding arbitration in accordance with the rules of Wingi Inc.
